Terms and Conditions for ProTek Managed Service Support Tiers
- Agreement: This agreement (the “Agreement”) is made between ProTek (the “Company”) and the customer (the “Customer”) for the provision of managed service support services as described in the packages outlined in the Customer’s selected tier (Essential, Elite, or Premier). The Agreement is effective from the date of acceptance and will remain in effect for a period of one (1) year.
- Description of Services: The Company will provide the Customer with the managed service support services described in the selected tier package, including remote device management, remote system patching and updates, remote device health monitoring, cyber security package, ransomware package, and any additional services as described in the selected tier package.
- Service Level Agreement: The Company will use commercially reasonable efforts to provide the managed service support services in accordance with the selected tier package description. The Company does not guarantee that the services will be uninterrupted or error-free, and the Company shall not be responsible for any interruption, delay, or other failure of
the services due to any cause beyond the Company’s control. The Company reserves the right to modify the services or service levels described in the selected tier package at any time, provided that such modification does not materially reduce the overall quality of the services.
- Payment Terms: The Customer shall pay the fees for the managed service support services as described in the selected tier package, in accordance with the payment terms agreed upon by the Company and the Customer. The Customer shall be responsible for any taxes, duties, or other charges associated with the services, excluding taxes based on the Company’s income.
- Confidentiality: The Company shall maintain the confidentiality of the Customer’s confidential information and shall use the confidential information only for the purpose of providing the managed service support services.
- Termination: Either party may terminate this Agreement upon written notice to the other party if the other party breaches any material term or
condition of this Agreement. In the event of termination by the Customer, the Customer shall be obligated to pay all fees and charges incurred through the date of termination. Upon termination of this Agreement, the Company shall return all confidential information in its possession to the Customer and shall cease use of all confidential information.
- Limitation of Liability: In no event shall the Company be liable to the Customer for any special, incidental, indirect, or consequential damages, including but not limited to, loss of profits or revenues, loss of use of the services, loss of data, or any other damages arising out of or in connection with this Agreement.
- Warranty Disclaimer: The Company makes no representations or warranties, express or implied, including, but not limited to, any implied warranty of merchantability or fitness for a particular purpose or any implied warranty arising from course of performance, course of dealing, or usage of trade.
- Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is located, without giving effect to any conflict of law principles.
- Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between the parties, whether written or oral, relating to the subject matter of this Agreement.
By accepting the terms and conditions of this Agreement, the Customer acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.
